OFFICERS
On March 26, 2009, Louis O. Normandin notified the Board of Directors of
Heritage Commerce Corp (the "Company") that he will not stand for re-election as
a director when his current term ends. As such, Mr. Normandin will retire from
the Company's Board of Directors and its Audit Committee and Corporate
Governance and Nominating Committee, as of May 28, 2009 the date of the
Company's Annual Meeting.
