Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On March 23, 2009, Mr. Bruce D. Swail informed the Company that he is
regretfully unable to serve on its Board of Directors as originally planned.
Following his recent appointment to the Board, concerns were raised by Mr.
Swail's existing business partners regarding his ability to take on additional
responsibilities as a Director of a public company. Mr. Swail did not
participate in any Board activities or meetings during his short tenure. The
Board has accepted his resignation and has immediately reactivated its search
for an additional independent director.
