Item 8.01. Other Events.

On March 16, 2009, the Registrant delivered a settlement agreement pertaining to its previously disclosed lawsuit on professional liability claims against attorneys and law firms which had served as the Registrant's counsel in certain acquisition transactions. Under the terms of the settlement agreement, the Registrant will receive, on or before March 28, 2009, a payment of $9,750,000 in full satisfaction of those claims.
