Item 8.01. Other Events.
On March 18, 2009, PMFG, Inc. (the "Company") issued a press release announcing that it has filed a preliminary proxy statement with the Securities and Exchange Commission related to a special meeting of stockholders. At the meeting, the Company's stockholders will be asked to approve a proposal to amend the Company's certificate of incorporation to authorize the issuance of five million shares of preferred stock. Currently, the Company's certificate of incorporation provides only for the issuance of common stock.
In the press release, which was issued pursuant to Rule 135c of the Securities Act of 1933, the Company announced that it is considering the issuance of shares of preferred stock in a private placement, provided that its stockholders approve the proposal at the stockholders meeting.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
