Entry into a Material Definitive Agreement
The Company negotiated a new term loan agreement to be used in the
refinancing of the $1.0 billion bridge loan scheduled to mature on August 19,
2009 and has entered into modifications of existing loan agreements to provide
increased financial flexibility.
On March 9, 2009, Smith International, Inc., a Delaware corporation (the
"Company"), entered into a $525.0 million term loan with a group of financial
institutions ("2009 Facility"). The funding of the 2009 Facility is contingent
upon securing additional cash proceeds of $375.0 million through either a public
or private financing transaction prior to June 5, 2009. The proceeds obtained
under the 2009 Facility will be used to repay a portion of the borrowings
outstanding under the August 20, 2008 Bridge Loan Facility, which is part of the
2008 Credit Agreement referenced below. The Bridge Loan Facility was utilized to
fund the cash consideration related to the acquisition of W-H Energy Services,
Inc. Borrowings under the 2009 Facility are unsecured and bear interest at the
rates specified in the agreement, which contains customary covenants, including
leverage ratio covenants.
On March 3, 2009, the Company entered into a First Amendment to the Credit
Agreement with Fortis Bank SA/NV, New York Branch, as administrative agent, the
other agents named therein and the lender parties thereto (the "Amendment"). The
Amendment modifies the Credit Agreement dated August 20, 2008 (the "2008 Credit
Agreement") to increase the debt to capitalization financial covenant ratio (as
defined in the 2008 Credit Agreement) to a maximum of 45 percent.
In addition, on March 3, 2009, the Company and M-I L.L.C., a Delaware limited
liability company, entered into a Third Amendment to the Revolving Credit
Facilities with Comerica Bank, acting as administrative agent, the other agents
named therein and the lender parties thereto (the "Third Amendment"). The Third
Amendment further modifies the Credit Agreement dated as of May 5, 2005, as
amended by instruments dated as of August 22, 2006 and August 15, 2008 (the
"2005 Credit Agreement"). The Third Amendment modifies the 2005 Credit Agreement
to increase the debt to capitalization financial covenant ratio (as defined in
the 2005 Credit Agreement) to a maximum of 45 percent.
