Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective March 2, 2009, Robert T. Geras resigned as a director in order to
pursue other opportunities with Merge Healthcare Incorporated (the "Company")
that might otherwise be prohibited due to conflict of interest or other issues
that might arise. Mr. Geras has been a director of the Company since May of
1989. The Company welcomes the opportunity to continue to work with Mr. Geras in
this new capacity.
