Item 8.01 Other Events
On March 4, 2009, U.S. Bancorp issued a press release announcing that the Board of Directors has reduced the company's quarterly common stock dividend from $0.425 to $0.05 per common share, effective for the dividend payable April 15, 2009, to shareholders of record on March 31, 2009. At this quarterly dividend rate, the annual dividend is equivalent to $0.20 per common share. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference. As discussed in the press release, U.S. Bancorp will host a conference call on March 4, 2009, at 8:00 a.m. (central time) to discuss these actions and to provide a business update. A copy of the presentation slides, which will be discussed during the conference call, is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
