(b) On February 27, 2009, Stewart Enterprises, Inc. (the "Company") and Brent
F. Heffron, Executive Vice President and President - Eastern Division, agreed
that Mr. Heffron will retire from all positions with the Company effective
April 30, 2009.

On March 3, 2009, the Company issued a press release announcing changes to
its organizational structure, including Mr. Heffron's retirement. A copy of this
press release is attached as Exhibit 99.1 hereto and is incorporated by
reference herein.
