(b) Resignation of Director.
By letter dated February 27, 2009, Director George Reyes notified the Company
of his resignation from the Board of Directors and from the Board's Audit
Committee effective February 28, 2009. Mr. Reyes' resignation was a personal
decision and was not the result of any disagreement with the Company on any
matters relating to the Company's operations, policies or practices.
