On March 2, 2009, Sirius XM Radio Inc. (the "Company") and its subsidiaries,
XM Satellite Radio Holdings Inc. and XM Satellite Radio Inc., filed
notifications on Form 12b-25 with the Securities and Exchange Commission
indicating that they would not be filing their Annual Reports on Form 10-K for
the year ended December 31, 2008 on the due date of March 2, 2009. The Company
and its subsidiaries expect to file the Annual Reports on Form 10-K no later
than March 17, 2009. The full text of the notifications on Form 12b-25 (SEC File
Nos. 000-24710, 333-39178 and 000-27441) (including all attachments thereto) is
hereby incorporated by reference.
