On December 22, 2008, First Federal Savings Bank of Iowa, the wholly owned subsidiary of North Central Bancshares, Inc. amended and restated the First Federal Savings Bank of Iowa Supplemental Retirement and Deferred Compensation Plan (the "SERP"). The amendment and restatement of the SERP is retroactive to January 1, 2005. The SERP was primarily amended to make changes to comply with the requirements of Section 409A of the Internal Revenue Code of 1986, as amended. Among other things, the amendments included changing the definitions of a "change in control" and a "disability" to satisfy the requirements of Section 409A and refining its rules for deferral elections and payment of benefits. This summary of the material changes to the SERP is qualified in its entirety by reference to the full terms of the amended and restated SERP. A copy of the amended and restated SERP is attached as Exhibit 10.1 to this Report and is incorporated herein by reference.
