(d) On February 23, 2009, at a regularly scheduled board meeting, the Board of
Directors of Valmont Industries, Inc. elected Clark T. Randt, Jr. a director of
the board. Mr. Randt is the Former United States Ambassador to the People's
Republic of China from July 2001 to January 2009. The directors also increased
the company's board size to nine members.
