Change in Directors or Principal Officers


Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In connection with a strategic review by Arbitron Inc. (the "Company") of its operations, effective as of February 24, 2009, the positions of President, Sales and Marketing and President, Technology, Research and Development of the Company have been eliminated.

Pierre C. Bouvard, previously President, Sales and Marketing of the Company will become Executive Vice President, Sales of the Company.

Owen Charlebois' employment as President, Technology, Research and Development of the Company will be terminated effective as of March 22, 2009. Mr. Charlebois will be entitled to receive severance compensation pursuant to the terms and conditions of a previously disclosed Executive Retention Agreement by and between the Company and Mr. Charlebois dated August 28, 2008.
