On February 17, 2009, Steven Shulman, Chairman of the Board of Directors of the
Company, notified the Company of his resignation effective on February 25,
2009. In connection with his resignation from the board, the Company agreed to
accelerate the vesting of 13,528 shares of Restricted Stock of the Company, with
an original vesting date of May 20, 2009, issued to Mr. Shulman as part of his
compensation for continued service on the board during 2008 pursuant to a
certain Transition Agreement dated February 19, 2008.
