ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF
DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN
OFFICERS.
On February 13, 2009, the Board of Directors of Simon Property Group, Inc. (the
"Company"), decided that it would not nominate the Hon. Birch Bayh for
reelection to the Board of Directors at the 2009 annual meeting of stockholders.
The decision was made at the request of Mr. Bayh who has served as a director of
the Company or its predecessor since 1993. Mr. Bayh's request and the Board of
Director's decision were not related to any disagreement with the Company.
