Eduardo Brea, on February 9, 2009, and Fred Stanton Smith, on February 11, 2009,
each separately notified Avatar Holdings Inc. (the "Company") of his decision
not to stand for reelection to the Board of Directors at the next Annual Meeting
of Stockholders of the Company. Each will continue to serve as a director until
the Company's next Annual Meeting of Stockholders and until his successor, if
applicable, is elected and qualified.
