On February 11, 2009, Emageon Inc., a Delaware corporation ("Emageon"), issued a press release regarding the availability of funding for its merger transaction with Health Systems Solutions, Inc. ("HSS") under the Agreement and Plan of Merger, dated as of October 13, 2008 and amended as of December 29, 2008, by and among Emageon, HSS and HSS Acquisition Corp., a wholly owned subsidiary of HSS.
