Item 2.02 Results of Operations and Financial Condition.

On February 3, 2009, Pericom Semiconductor Corporation hosted a conference call to discuss the announced earnings for the fiscal second quarter ended December 27, 2008 and to give guidance for the following quarter. A copy of the call transcript is attached on Exhibit 99.1.
