Item 2.02 Results of Operations and Financial Condition.

On February 2, 2009, the Registrant issued a press release announcing that its Board of Directors did not declare a quarterly dividend for the second quarter of fiscal 2009. It also announced that it expects to release its 4th quarter and fiscal 2008 earnings next week and outlined sales declines, additional bad debt and special charges incurred during its fiscal fourth quarter of 2008, and current bank covenant waiver negotiations, among other things. A copy of the news release announcing this information is attached to this report as Exhibit 99.
