Item 2.02. Results of Operations and Financial Condition

(a) On February 9, 2009, The Boeing Company issued a press release regarding its statement about the Company's 2008 Form 10-K earnings-per-share data. As reflected in the Company's Form 10-K for the year ended December 31, 2008, the Company's fourth-quarter and full-year 2008 per share results are four cents lower than was reported on January 28, 2009, primarily because of two subsequent events that have been incorporated into the fourth-quarter results. For more information, a copy of the press release is attached hereto as Exhibit 99.1 and is furnished herewith.
