Officers.
(b) On February 4, 2009, David G. Lodge, a member of the Board of Directors
and the President and Chief Operating Officer of the Company, informed the
Company that he is retiring from service to the Company and the Board, effective
March 1, 2009. Mr. Lodge also serves as the Director of Strategic Planning of
The Home Savings and Loan Company, a wholly-owned subsidiary of the Company, a
position from which he also is retiring. Mr. Lodge's retirement did not relate
to any disagreement with the Company.
A copy of the press release announcing the Mr. Lodge's retirement is attached
hereto as Exhibit 99 and incorporated herein by reference.
