Item 5.02 Departure of Directors or Certain Officers
On January 30, 2009, Mr. John S. DeBlois resigned his position as Executive
Vice-President, TSI. The Company has entered into a Separation Agreement and
General Release in which the Company agreed to pay Mr. DeBlois an amount equal
to seven months base salary totaling $175,654.22. Pursuant to the agreement
Mr. Deblois has agreed to provide the Company with one month of consulting
services. A copy of the agreement is provided as Exhibit 99.1.
