Item 2.02 Results of Operations and Financial Condition.

On February 4, 2009, Tandy Brands Accessories, Inc. (the "Company") issued a press release announcing its financial results for the second quarter ended December 31, 2008. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
