(d) Effective February 1, 2009, RLI Corp. ("RLI") appointed Kaj Ahlmann as a member of its Board of Directors. Mr. Ahlmann has not yet been assigned to any committee of the Board of Directors.

As a member of the RLI Board of Directors, Mr. Ahlmann will receive compensation pursuant to RLI's standard arrangements for directors.
