(b) On February 2, 2009, Tyco International Ltd. (the "Company")
was notified by Admiral Dennis Blair, a member of the company's Board of
Directors, that he has resigned from the Board effective January 30, 2009. On
January 30, Admiral Blair was sworn in as the Director of National Intelligence
of the United States. Admiral Blair has been a member of the Board since
March 2003. Due to his nomination to serve in President Obama's administration,
Admiral Blair is not a nominee for re-election to the Board at the Company's
Annual General Meeting of shareholders scheduled to take place on March 12, 2009
in Bermuda.
