On February 3, 2009, Motorola, Inc. issued a press release announcing financial results for the quarter and year ended December 31, 2008. A copy of this press release is attached hereto as Exhibit 99.1.

As further described in the press release attached hereto as Exhibit 99.2, on February 3, 2009, the Company announced that Edward J.
