(d) On January 27, 2009, the Board of Directors (the "Board") of Aehr Test Systems (the "Company") appointed Mario M. Rosati as a director of the Company.

Mr. Rosati is a member of the law firm of Wilson Sonsini Goodrich & Rosati ("WSGR"). The Company currently retains WSGR as its legal counsel. During the Company's last fiscal year, the Company's accrued legal fees from WSGR were approximately $194,000.

ITEM 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a) In connection with Mr. Rosati's appointment, the Board amended Article III, Section 3.2 of the Company's bylaws to increase the exact number of directors of the Company from five to six, effective immediately.
