Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
At a regularly scheduled meeting of the Weis Markets, Inc. Board of Directors
held on January 27, 2009, Mr. David J. Hepfinger, President and Chief Executive
Officer, was appointed to serve as a Director by unanimous consent of the other
Directors. Mr. Hepfinger fills the vacancy created by Mr. Norman S. Rich, who
retired from the Company as CEO and resigned from the Board on December 31,
2008. Mr. Hepfinger will serve as a Director for the balance of Mr. Rich's term,
which expires at the next Annual Meeting of Shareholders to be held in April of
2009.
