Item 2.02 Results of Operations and Financial Condition.

On January 27, 2009, Tuesday Morning Corporation, a Delaware corporation (the "Company"), issued a press release announcing net income, earnings per share and final net sales for the second fiscal quarter ended December 31, 2008 and the six month period ended December 31, 2008. In the press release, the Company also updated its guidance for the fiscal year ending June 30, 2009. The press release is attached to this Form 8-K as Exhibit 99.1.
