ITEM 2.02 - RESULTS OF OPERATIONS AND FINANCIAL CONDITION:

Ramtron International Corporation ("Ramtron") reported today total revenue of $16.3 million for the fourth quarter of 2008, 14% higher than total revenue of $14.3 million for the same quarter last year. Net income for the fourth quarter of 2008 was $915,000, or $0.03 per share, compared with net income of $8.7 million, or $0.32 per share, for the fourth quarter of 2007. Included in fourth quarter 2007 results was a $7.6 million non-cash income tax benefit related to the recording of a deferred tax asset at the end of fiscal 2007.
