(b) On January 23, 2009, Edward P. Campbell notified the Company that he will
retire from his position as a member of the Board of Directors and as
Chairman of its Compensation and Corporate Governance Committee immediately
before the Annual Meeting of Shareholders on March 18, 2009. Mr. Campbell's
decision to retire was based on personal reasons and was not the result of
any disagreement with the Company.
