ITEM 2.02. Results of Operations and Financial Condition

On January 21, 2009, First Community Corporation, holding company for First Community Bank, issued a press release announcing its financial results for the period ended December 31, 2008.

A copy of the press release is attached hereto as Exhibit 99.1.

ITEM 8.01. Other Events.

On January 21, 2009, First Community also announced that its Board of Directors declared a $0.08 per share dividend payable to shareholders of record as of February 2, 2009. The dividend will be paid on February 17, 2009.

Attached as Exhibit 99.1 is a copy of the press release relating to the announcement of the share dividend, which is incorporated herein by reference.
