Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Two members of the Board of Directors of Unitrin, Inc. (the "Company") have
informed the Company that they have decided to retire at the end of the current
term for directors, which expires on May 6, 2009, the day of the Company's 2009
Annual Meeting of Shareholders. As a result, Donald V. Fites, 75, and Jerrold V.
Jerome, 79, will not be standing for re-election at the 2009 Annual Meeting of
Shareholders.
