Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 15, 2009, Scott B. Lehman was elected to our board of directors. From
2007 to 2008, Mr. Lehman was Vice President - Acquisitions at Tecta America
Corp, a roofing contractor. From 2002 to 2007, Mr. Lehman was Director -
Strategic Business Development at White Cap Construction Supply, a distributor
of specialty hardware, tools and materials to construction contractors. He was a
principal at Transaction Advisory Services from 1997 to 2002, and was interim
CEO of Corporate Express Australia from 1996 to 1997. From 1987 to 1997, Mr.
Lehman held a variety of positions at Corporate Express, Inc., an office and
computer products supplier, including Vice President - Acquisitions from 1992 to
1994. Mr. Lehman served as chairman of the audit committee of Corporate Express
Australia from 1995 to 1997.
Mr. Lehman has been elected as chairman of our audit committee.
