On January 22, 2009, Lakeland Bancorp, Inc. disseminated a press release reporting fourth quarter results for the period ended December 31, 2008. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

In the press release referred to in Item 2.02, the Company reported the following event. A $0.10 cash dividend was declared on January 14, 2009. The cash dividend will be paid on February 13, 2009 to shareholders of record at the close of business January 30, 2009.
