Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 15, 2009, two members of the Board of Directors of Allied Capital
Corporation (the "Company"), John I. Leahy, age 78, and Guy T. Steuart II, age
77, announced their intention to retire at the end of their current terms.
Messrs. Leahy and Steuart are both Class II Directors whose terms expire
following the Company's 2009 Annual Meeting of Stockholders. Mr. Leahy has
served as director of the Company or one of its predecessors since 1994. Mr.
Steuart has served as director of the Company or one of its predecessors since
1984.
