On January 16, 2009, the Company issued a press release announcing (1) that it
has filed a Notification of Late Filing under Rule 12b-25 of the Securities
Exchange Act of 1934, as amended, with the Securities and Exchange Commission
for its Annual Report on Form 10-K for the fiscal year ended November 2, 2008,
(2) the expected impairment of goodwill in the fourth quarter of fiscal 2008 as
a result of recent operating performance and business outlook primarily due to
the general economic conditions, and (3) its expected results of operations for
the fourth quarter of fiscal 2008. A copy of the press release is attached as
Exhibit 99.1 and is incorporated herein by reference.
