Item 2.02 Results of Operations and Financial Condition.

On January 19, 2009, First Defiance Financial Corp. ("FDEF") issued a press release regarding its earnings for the quarter and fiscal year ended December 31, 2008.

The Financial Summary and Comparison included in the press release incorrectly stated that, for the three and twelve months ended December 31, 2008, the Book Value of FDEF was $28.23 and the Tangible Book Value was $20.23. For the three and twelve months ended December 31, 2008, the correct Book Value and Tangible Book Value are $23.67 and $15.67, respectively. The press release attached as Exhibit 99 hereto has been corrected and is incorporated herein by reference.
