Appointment of Principal Officers.
(b) On January 9, 2009, Gregory Scott departed as Chief Executive Officer and
member of our Board of Directors (the "Board"). On the same date Manny Mashouf,
our founder and Chairman of the Board, assumed the responsibilities of Chief
Executive Officer and Cynthia Cohen was appointed as the Board's lead
independent director.
On January 12, 2009, the annual base of Walter Parks, the Company's Chief
Operating Officer and Chief Financial Officer, was increased to $450,000.
