Item 8.01 Other Events.

On January 15, 2009, Rochester Medical Corporation (the "Company") announced that Tyco International (U.S.), Inc., Tyco Healthcare Group LP, Covidien Ltd. (collectively, "Covidien") and the Company had reached a settlement under which the Company will dismiss Covidien from litigation which the Company filed on March 16, 2004. A copy of the press release that discusses these matters is filed as Exhibit 99.1 to, and incorporated by reference in, this report.
