Item 8.01 Other Events.

On January 13, 2009, Neurobiological Technologies, Inc. (the "Company") issued a press release announcing that the Company has decided not to develop Viprinex further for the treatment of acute ischemic stroke. The determination was made following an analysis of data from a recent clinical trial of Viprinex, which was halted for futility after a scheduled interim analysis. The Company determined that there was no group of patients in which Viprinex improved patient outcome.

The Company also announced that it is reducing its workforce substantially, and that the reduction would aggregate approximately 75% of the staff employed previously by the time the reduction plans are completed in March 2009. A copy of the Company's press release is attached hereto as Exhibit 99.1.
