Item 5.02(b) Departure of Directors or Certain Officers.
On January 12, 2009, Alliance Imaging, Inc. (the "Company") received from
Anthony B. Helfet, a member of the Board of Directors of the Company, a notice
of his resignation from the Company's Board of Directors and all committees of
the Board of Directors, effective as of the Company's 2009 Annual Meeting. The
Company is currently conducting a search for a qualified candidate to nominate
for election to the Board of Directors at the Company's 2009 Annual Meeting to
replace Mr. Helfet on the Board of Directors.
