Item 2.01. Completion of Acquisition or Disposition of Assets.

On January 7, 2009, Jaco Electronics, Inc. (the "Registrant") completed the previously announced sale (the "Transaction") of certain assets, excluding accounts receivable, used in the Registrant's business of distributing passive and active electronic components and supporting technology products and services to WPG Americas, Inc. ("WPG Americas"). In consideration for the assets purchased, WPG Americas paid the Registrant $6,500,000 in cash and assumed approximately $9,366,000 of accounts payable. The purchase price is subject to a customary post-closing purchase price adjustment.

ITEM 8.01. Other Events.

On January 7, 2009, the Registrant announced the completion of the Transaction by press release, a copy of which is attached hereto as Exhibit 99.2 and incorporated by reference in its entirety.
