(b) On January 12, 2009, Kevin J. Purcell resigned as the Company's Chief Financial Officer. Mr. Purcell will continue to act as a consultant to the Company until June 6, 2009.

(c) Anello C. Garefino, Vice President - Finance since September 2004, has been appointed by the Board of Directors as the Company's Chief Financial Officer, to serve at the pleasure of the Board. Mr. Garefino has been employed by the Company in various financial positions since January 1990 and was the Company's Chief Financial Officer from June 1993 to September 2004.
