(b) On January 8, 2009, Joseph R. Doherty informed the Boards of Directors of Central Bancorp, Inc. (the "Company") and its wholly owned subsidiary, Central Co-operative Bank (the "Bank"), that he will be retiring from the Boards of Directors of the Company and the Bank effective January 15, 2009.
