The Company hereby discloses that on December 16, 2008 the Company's Board of Directors selected Robert J. Majteles as the Company's non-executive Chairman of the Board. In connection with such selection, the Company's Board of Directors determined that it was no longer necessary to have a separate independent director serve in the capacity as Lead Director.
