On December 31, 2008, Fisher Communications, Inc. (the "Company") completed the sale by its wholly-owned subsidiary, Fisher Broadcasting Company ("Fisher Broadcasting"), of 100% of the outstanding membership interests in Panlocal Media LLC, which owns and operates Pegasus News, an online hyper-local media pioneer based in Dallas, Texas. As consideration for the sale, the buyer paid Fisher Broadcasting $1.5 million and granted the Company and its affiliates a royalty-free, non-exclusive, non-transferable license to use certain related technology in Fisher's existing television and radio markets to deliver personalized online local news, information and advertising.
