ITEM 8.01 OTHER EVENTS.

On January 6, 2009, Becton, Dickinson and Company ("BD") and Ultimed, Inc. entered into an agreement to settle the matter of Ultimed, Inc. v. Becton, Dickinson and Company (Civil Action No. 06CV2266, United States District Court, District of Minnesota). Under the terms of the settlement, in exchange for mutual releases, BD will pay the sum of seven hundred fifty thousand dollars ($750,000), and Ultimed will dismiss the matter with prejudice.
