Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 31, 2008, Margaret Whitman, a director of eBay Inc. (the "Company"),
notified the Company that she would resign from the Company's Board of Directors
effective immediately. Ms. Whitman's position with the Company as Special
Advisor to the President and CEO also terminated as of December 31, 2008. Ms.
Whitman's decision to resign is solely for personal reasons and time
considerations and did not involve any disagreement with the Company, the
Company's management or the Board of Directors.
