Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On December 19, 2008, the Company's stockholders elected Michael J. Pawelek,
David Lieberman, Stanley A. Hirschman, Bryce W. Rhodes and Doyle A. Valdez as
directors. Edward Shaw and Owen Naccarato, both former directors, did not stand
for re-election.
On December 19, 2008, the Company's newly elected directors elected Michael
Pawelek as Chairman of the Board.
